Terms of Use

Bouéla is a service published by Dysoft Consulting ("we"). These terms of use ("Terms") govern access to and use of the Bouéla website, dashboard and mobile app (together, the "Service"). By creating an account or using the Service you accept these Terms. If you accept them on behalf of a business, you confirm you are authorised to bind it.

1. The Service

Bouéla connects shops and brands ("Brands") with content creators and customers ("Creators") within local circles. A Brand publishes challenges; a Creator takes part by posting content on their social networks and receives in return a reward set by the Brand (discount voucher, free product or experience, or another benefit). The Service also includes a QR code and a mini-site letting a Brand's customers take part without an account.

2. Accounts

You must be at least 16 to create an account. You are responsible for the accuracy of the information you provide, for keeping your credentials confidential and for any activity carried out from your account. A Brand account may be used by several people of the same business under the responsibility of its holder.

3. Plans, prices and billing

Registration is free. Plans are presented on the Plans page; prices shown are those charged by our payment provider Stripe, with applicable VAT detailed at payment and on invoices. Some plans include a 14-day free trial without credit card: if no payment method is added before the end of the trial, the subscription ends without any charge. Launch offers (for example free months for a group of shops) are applied through a promotion code and limited to two months.

Paid plans are billed per period (monthly unless stated otherwise), in advance, and renew automatically until cancelled. You may cancel at any time from your dashboard: access to paid features remains active until the end of the period already paid, which is not refunded. If a payment fails, access to paid features may be suspended after notice. We may change prices for future periods with at least 30 days' notice.

4. Challenges and rewards

The Brand freely defines its challenges and rewards and is solely responsible for them: it undertakes to honour the rewards it publishes, within the announced quantities, on presentation of the code given to the Creator. Bouéla is not a party to the relationship between the Brand and the Creator and guarantees neither the number of participations nor the commercial results of a challenge.

The Creator undertakes to publish authentic content that complies with the rules of the social platform concerned and with the regulations applicable to commercial communication, in particular by clearly disclosing the collaboration or benefit received (for example "paid partnership" or "gifted"). Misleading, purchased or automated content may lead to the reward being refused and the account closed.

5. Content

You keep your rights over the content you publish through the Service (logos, descriptions, photos, videos, links). You grant us a non-exclusive, royalty-free, worldwide licence to host, display and transmit it as needed to operate the Service, including to present a challenge and its participations to the Brand and to the members of the circle concerned. You warrant that you hold the necessary rights and that your content does not infringe third-party rights.

6. Prohibited uses

You may not use the Service to publish unlawful, misleading or hateful content or content infringing third-party rights; to circumvent plan limits or the reward mechanism; to create fictitious accounts or participations; to collect other users' data; or to disrupt the operation of the Service.

7. Personal data

The processing of personal data is described in our Privacy Policy, which forms part of these Terms.

8. Availability and liability

The Service is provided "as is". We use our best efforts to keep it available and secure but do not guarantee uninterrupted availability. To the extent permitted by law, our liability under the Service is limited to the amounts you paid us over the last twelve months. Nothing in these Terms limits the rights granted to you by law as a consumer.

9. Suspension and termination

We may suspend or close an account in case of breach of these Terms, after notice where possible. You may delete your account at any time from the settings or by writing to us. Closing the account ends current plans at the end of the paid period.

10. Changes

We may change the Service and these Terms. Any material change will be announced at least 30 days in advance by e-mail or in the Service; continued use after that date constitutes acceptance.

11. Governing law

These Terms are governed by French law. In the event of a dispute, the parties will first seek an amicable solution; failing that, the competent courts will be those of the registered office of Dysoft Consulting, subject to mandatory jurisdiction rules applicable to consumers. Consumers may use the European online dispute resolution platform.
